1.Acceptance of Terms

By registering for, accessing, or using WorkXel (“Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you should not use the Service.

WorkXel is a cloud-based project and work management platform provided by Sasri Smart Solutions (“Sasri Smart Solutions”, “we”, “us”, or “our”).

2.Service Description

WorkXel provides organizations with tools for managing projects, tasks, subtasks, users, guests, project files, communications, notifications, leave management, and other work-related information.

WorkXel is sold as a single subscription model rather than as multiple plan tiers. The subscription provides a base allocation of resources, and customers may purchase additional resources separately when needed, subject to the resources and prices made available by Sasri Smart Solutions.

Newly registered organizations may receive a ninety (90) day free trial. The free trial is subject to the limits described in Section 4 and is intended for one trial per owner. Sasri Smart Solutions may prevent repeated or abusive use of free trials where reasonably necessary.

Subscription features, resource limits, prices, and any temporary offers are those displayed to the customer before the applicable payment or subscription period.

3.Definitions

For these Terms:

  • “Organization” means the company, business, team, or other entity using WorkXel under an organization account.
  • “Organization Owner” means the user responsible for the Organization's WorkXel account and subscription.
  • “User” means a person with a normal WorkXel user account and access to the Organization.
  • “Guest” means an external person given project-specific access through a guest place.
  • “Resource” means a user, project, storage capacity, guest place, or other separately purchasable allocation offered by WorkXel.
  • “Subscription Period” means a 30-day paid period unless otherwise stated by WorkXel.

4.Free Trial

A new organization may receive a ninety (90) day free trial. No payment is required to start the free trial unless the customer chooses to purchase resources beyond the free trial allocation.

During the free trial, the following resources are included at no charge:

  • 10 users.
  • 15 active projects.
  • 1,500 MB organization storage.
  • 5 guest places.

The free trial allocation is separate from the paid base subscription allocation. When the trial ends, the organization must operate within the base subscription allocation or purchase additional resources.

If an organization uses resources above the free trial allocation and purchases those additional resources, the applicable additional-resource charges are calculated according to the billing rules and prices displayed by WorkXel. During the trial, additional resources may be charged by 30-day trial blocks, with a reduced charge for the remaining days of a block where applicable.

The free trial is limited to one trial per owner. Creating another organization does not create a new trial where the owner has already used the available trial.

The customer is responsible for reviewing the expected post-trial resource requirements and applicable charges before the free trial ends.

5.Subscription Resources, Users, Guests and Limits

The WorkXel base subscription includes the following resources for each 30-day Subscription Period:

  • 4 users, including the Organization Owner.
  • 6 active projects. Archived projects are not counted as active projects.
  • 600 MB total organization storage.
  • 2 guest places for the organization.

The base subscription does not automatically provide additional users, projects, storage, or guest places when a customer increases usage. Additional resources may be purchased separately at the applicable prices displayed by WorkXel.

Additional resources may include:

  • Users — additional user seats.
  • Projects — additional active projects.
  • Storage — additional storage capacity in the units offered by WorkXel.
  • Guest places — additional guest access places.

A guest is an external person given access to a project. A guest can access only the project or projects for which the guest has been granted access, subject to the applicable permissions. Each accepted guest access to a project uses one guest place. Therefore, the same person invited to multiple projects may use multiple guest places.

Guest access does not provide access to the Organization's other projects, general staff information, or leave-management information unless WorkXel specifically provides such access.

Guest-uploaded files count toward the Organization's storage allocation. Guests do not receive a separate storage allowance.

Storage is counted at the organization level. WorkXel may display an indicative allocation such as 100 MB per project, but the applicable storage limit is the Organization's total storage allocation unless otherwise stated in the Service.

The Organization is responsible for managing its users, guests, permissions, resource quantities, and access to its WorkXel account.

6.Account Registration and Security

Users must provide accurate information when creating an account and must keep their account information up to date.

Users are responsible for maintaining the confidentiality of their login credentials and for all activities performed through their accounts.

Users must immediately notify Sasri Smart Solutions if they become aware of unauthorized access or any suspected compromise of their account.

7.Data Encryption and Individual Access Keys

WorkXel uses encryption to protect sensitive information stored and handled within the Service. Depending on the type of information and functionality involved, sensitive information includes, but is not limited to:

  • Project data
  • Project and task chat data
  • File attachments
  • Organization-wide notifications
  • Team-wide notifications

Certain sensitive information is encrypted using individual user access keys associated with authorized users.

Users are responsible for keeping their individual access keys secure and for preventing unauthorized persons from obtaining them. Users should not disclose, share, or unnecessarily expose their access keys.

Individual access keys may be required to recover access to encrypted information. Sasri Smart Solutions may not be able to recover or decrypt certain encrypted information if the required individual access keys are lost, destroyed, or otherwise unavailable.

Accordingly, users are responsible for securely retaining any access keys or recovery information provided to them by WorkXel and should maintain appropriate backups where applicable.

Sasri Smart Solutions will take reasonable technical and organizational measures to protect encrypted information and access keys within the WorkXel service. However, no method of electronic storage, transmission, or security can be guaranteed to be completely secure.

8.Subscription Model, Pricing and Currency

WorkXel uses one subscription model. There are no separate subscription tiers. The customer pays for the base subscription and may add individual resources according to the Organization's requirements.

The base subscription, additional-resource prices, and any applicable temporary offers are displayed to the customer before payment. Pricing may change for future Subscription Periods.

For customers billed in Sri Lanka, prices are denominated in LKR. For customers billed outside Sri Lanka, prices are denominated in USD. The LKR and USD price lists are maintained separately and are not calculated by applying a live exchange rate at payment.

Unless otherwise stated, displayed subscription prices are exclusive of applicable taxes. Any VAT, GST, sales tax, or other applicable taxes may be charged or handled in accordance with applicable laws and regulations.

Any price or resource-term change affecting a future Subscription Period will be communicated or displayed before the applicable payment.

9.Billing Periods and Payments

The standard WorkXel billing period is thirty (30) days. Billing periods are consecutive 30-day periods and are not necessarily calendar months.

The first paid Subscription Period starts on the day after the free trial ends, unless otherwise stated at checkout.

Subscription and resource charges are payable in advance for the applicable period. The Organization Owner can review and select the resource quantities for the next period before making the payment.

WorkXel does not currently use automatic recurring billing. Payments are one-off payments for the applicable period, and the Organization Owner must manually make the payment for each new period.

Payment may be processed through third-party payment providers, including PayHere. Payment information such as card details is processed by the relevant payment provider in accordance with its own terms and security practices. Sasri Smart Solutions does not intend to store complete payment-card information on its own systems.

When an additional resource is purchased during an active 30-day period, the resource becomes available after the applicable payment is completed. The charge for a mid-period resource is calculated based on the number of whole days remaining in the period and the applicable resource price displayed by WorkXel, subject to any minimum charge rules displayed at purchase.

The base subscription price is not reduced because the subscription was purchased after a period has already started.

If a customer reduces the quantity of a resource during a current period, the reduction takes effect from the beginning of the next period. No refund is provided for resource capacity already paid for in the current period.

A resource quantity cannot be reduced below the amount currently being used. The Organization Owner is responsible for choosing which users or other resources remain active when a reduction is required. WorkXel will not arbitrarily select users or delete their work solely because the subscription resource quantity is reduced.

Applicable charges, dates covered, resource quantities, and the next payment date will be displayed before payment.

10.Cancellation, Resource Reduction and Refunds

A paid Subscription Period begins when the applicable payment activates the subscription. The first thirty (30) days of a paid subscription are non-refundable, except where a refund is required by applicable law.

Reducing or removing an additional resource during a current Subscription Period does not create a refund. The reduced resource quantity applies from the next Subscription Period.

Where a customer has paid in advance for a future Subscription Period or other future service and cancellation is permitted, any refund eligibility is subject to the applicable WorkXel Refund Policy, the payment provider's requirements, and applicable law.

Refund eligibility, processing methods, and processing times are governed by the applicable Refund Policy and payment-provider requirements.

11.Subscription Expiration, Grace Period and Late Payment

If a 30-day Subscription Period ends without payment for the next period, a fourteen (14) day grace period begins.

During the fourteen (14) day grace period:

  • All existing Organization users may continue using WorkXel normally.
  • Existing projects, tasks, files, messages, and other information remain available according to existing permissions.
  • The Organization Owner may receive reminders to make the required payment.
  • No Organization data is deleted solely because payment is late.

If the subscription remains unpaid after the fourteen (14) day grace period:

  • Only the Organization Owner may sign in.
  • Other Organization users are blocked from signing in.
  • The Owner may make the required payment and restore access, subject to the applicable payment and subscription terms.
  • Organization data is not automatically deleted at this stage.

Where a payment is made after the previous Subscription Period has ended, the applicable payment may cover the period beginning from the end of the previous paid period rather than beginning on the date of payment, where indicated by WorkXel before payment.

Any applicable charge for reactivation, dormant service, or missed periods will be displayed to the customer before payment. The customer should review the dates and amounts shown before completing payment.

12.Data Retention and Deletion After Expiration

Organization data will be retained on the WorkXel servers for ninety (90) days from the end of the last paid Subscription Period, unless the customer or Sasri Smart Solutions deletes it earlier in accordance with these Terms.

During this retention period, the Organization Owner may be able to sign in, export data, and restore the subscription, subject to the applicable service and payment conditions.

If the subscription is not restored within the three-month retention period, the Organization's data may be permanently deleted. Customers are responsible for exporting or backing up any data they wish to retain before the applicable deletion period expires.

Before permanent deletion, Sasri Smart Solutions may provide reminders or other notices where reasonably practicable.

Data may remain temporarily in system backups after deletion, subject to normal backup retention and security procedures.

An Organization Owner may also request deletion of the Organization. Deletion of an Organization is separate from simply allowing a subscription to expire and may permanently erase projects, tasks, messages, files, leave records, members, and other Organization data. Where available, an export should be taken before deletion.

Deleting an Organization does not create a new free-trial entitlement for the same owner.

13.Leave Management

Leave management includes leave requests, supervisor and administrator approval, leave allocations and balances, company holidays, the leave calendar, and leave reports.

Leave management is currently included in the base subscription at no additional charge for a limited time. Sasri Smart Solutions may change this arrangement in the future.

If leave management becomes a separately chargeable resource, an Organization that already has access to the feature will normally retain access for the remainder of its current paid period. Any applicable charge will apply from a subsequent Subscription Period after the change takes effect.

If an Organization does not purchase leave management after it becomes a paid resource, existing leave records should remain available for viewing and export, while new leave activity may be restricted.

14.Customer Data and Ownership

The Organization and its authorized users retain ownership of the data, content, files, messages, and other information submitted to WorkXel by them (“Customer Data”).

Sasri Smart Solutions does not claim ownership of Customer Data.

The customer grants Sasri Smart Solutions the limited rights necessary to host, store, process, transmit, back up, and otherwise provide the WorkXel Service.

The customer is responsible for ensuring that it has the necessary rights and permissions to upload, store, process, or share Customer Data through WorkXel.

15.Customer Responsibility for Data and Access

The customer is responsible for:

  • The accuracy and legality of Customer Data.
  • Managing users, guests, roles, permissions, and resource quantities.
  • Protecting account credentials and individual access keys.
  • Maintaining appropriate backups of important information.
  • Ensuring that users with access to the Organization's data are authorized.
  • Ensuring that Customer Data does not violate applicable laws or third-party rights.
  • Reviewing subscription quantities and payment information before making each payment.

Because certain information is protected using individual access keys, loss or compromise of those keys may affect the ability to recover access to encrypted information.

16.Acceptable Use

Customers and users must not use WorkXel to:

  • Violate applicable laws or regulations.
  • Upload or distribute malicious software.
  • Attempt to gain unauthorized access to another account, organization, system, or data.
  • Interfere with or disrupt the Service.
  • Circumvent subscription limits, payment requirements, or security controls.
  • Use the Service to infringe intellectual property, privacy, or other rights of third parties.
  • Conduct activities that could damage, overload, or compromise the WorkXel infrastructure.

Sasri Smart Solutions may suspend or terminate accounts that materially violate these Terms or pose a security, legal, or operational risk.

17.Intellectual Property

The WorkXel software, platform, source code, design, user interface, trademarks, logos, documentation, and related intellectual property are owned by or licensed to Sasri Smart Solutions.

Except as expressly permitted under these Terms, customers may not copy, modify, distribute, reverse engineer, resell, or create derivative works from the WorkXel Service.

Customer Data remains the property of the customer.

18.Service Availability

Sasri Smart Solutions will make reasonable efforts to keep WorkXel available and operational.

However, continuous or uninterrupted availability is not guaranteed. The Service may occasionally be unavailable because of maintenance, upgrades, infrastructure failures, network problems, security incidents, third-party service failures, or circumstances beyond our reasonable control.

We may perform scheduled or emergency maintenance when necessary to maintain or improve the Service.

19.Third-Party Services

WorkXel may integrate with or rely on third-party services such as payment providers, cloud infrastructure, authentication services, notification services, communication services, or other external platforms.

Use of third-party services may be subject to the terms and privacy policies of those providers.

Sasri Smart Solutions is not responsible for failures, interruptions, or changes to third-party services that are outside our reasonable control.

20.Disclaimer

WorkXel is provided on an “as available” basis.

To the extent permitted by applicable law, Sasri Smart Solutions does not guarantee that the Service will always be uninterrupted, error-free, completely secure, or suitable for every particular purpose.

While we implement security measures including encryption for certain sensitive information, customers acknowledge that no internet-based system can guarantee absolute security.

Customers should maintain appropriate copies or backups of critical information.

21.Limitation of Liability

To the maximum extent permitted by applicable law, Sasri Smart Solutions will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, business opportunities, or data arising from the use or inability to use WorkXel.

This includes, where permitted by law, losses resulting from:

  • Loss or unavailability of Customer Data.
  • Loss of individual access keys or recovery information.
  • Unauthorized access resulting from compromised customer credentials or access keys.
  • Service interruptions.
  • Third-party service failures.
  • Customer's failure to maintain appropriate backups.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

22.Changes to the Service and Terms

Sasri Smart Solutions may modify, add, or remove features of WorkXel from time to time.

We may also update these Terms when necessary. Material changes may be communicated through the Service, website, email, or other appropriate means.

Continued use of WorkXel after the effective date of updated Terms constitutes acceptance of the revised Terms.

23.Governing Law

These Terms are governed by the laws of Sri Lanka.

Any dispute arising from or relating to the Service or these Terms will be subject to the applicable courts and legal jurisdiction of Sri Lanka, unless otherwise required by applicable law.
